Q: How can I Copyright My Website?

A: All websites and their content are inherently copyrighted when you write "All Rights Reserved" or "Copyright 2011," provided they are your original works. However, if you choose to complete official copyright registration for your website with United States Copyright Office, you can file a copyright infringement case in a US court in case anyone copies your original work. If the content of your website is valuable to you, financially or otherwise, or if you feel you need to protect your website and its contents for legal reasons, then registeration of copyright to your website is worthwhile.

Q: I have an idea. How can I protect it so it's not copied by someone else?

A: This matter will require the engagement of one our alliance attorneys. Generally, there are 3 ways to protect your idea. Copyright, Trademark and Patent. A quick way to securing your idea and getting "Patent Pending" status and a priority filing date and 12 months.

Q: What is a C Corporation?

A: Generally, this form of corporation is used for large enterprise. C corporation is taxed at two levels. This is commonly referred to as double taxation. C corporation pays a corporate tax on its corporate income (the first tax). Then, the C corporation distributes profits to stockholders who pay income tax on those dividends (the second tax). However, you must consult an attorney and a Tax specialist before making a decision about forming a corporation.

Q: What is an S Corporation

A: S Corporation is pass-through entity taxed like a partnership or a sole proprietorship. One way to avoid the double taxation of a C corporation is to make a special election to be taxed as a S corporation. That way, there is only one level of taxation. The corporate profits "pass through" to the owners, who pay taxes on the profits at their individual tax rates on their individual tax returns. However, you must consult an attorney and a Tax specialist before making a decision about forming a corporation.

Q: What is an LLC? And how is it different from an S corporation?

A: LLC has more flexibility and fewer restrictions than an S corporation even though it shares many of the same tax characteristics as an an S corporation. An S corporation cannot have more than 100 stockholders, cannot issue more than one class of shares, and is subject to more formalities than an LLC. However, owners of an LLC are required to pay Social Security and Medicare taxes on profits. Corporate stockholders are not required to pay these taxes on profits over and above the stockholders' salaries. However, you must consult an attorney and a Tax specialist before making a decision about forming a corporation or LLC.

Q: What are the things I need to know before I start a new company, a corporation or LLC?

A: Incorporating your company is the 1st step. There are other federal, state, and practical considerations in steps that follow. The following is a list of action items before and after you have formed a new corporation:

  • Find the domain name of the company names in your mind. Register the domain in your personal name. It can be transfered to your company when you company is incorporated
  • Think of 3 names of your company in order of priority, just in case the name has been taken
  • Decide of contact information, address, telephone, email etc.
  • Decide on shareholders and number of shares, types of shares, capital investment etc.
  • Federal Tax ID or EIN number obtained from Internal Revenue Service (IRS)
  • Establish a corporate banking account in your corporation's name.
  • State tax registration with State Tax Board
  • State department of consumer affairs confirmation to obtain any required business licenses or permits
  • File Trademark, Copyright and/or Patent depending on what your business needs
  • Obtain city and/or county business licenses or permits and check the zoning laws
  • Obtain Business insurance or a business rider to a homeowner's policy
  • Decide on record-keeping requirements, guidelines for withholding taxes (if you will have employees), information on hiring independent contractors, facts on estimating taxes, forms of organization, etc.
  • Workers' compensation information from Insurance company if you will have employees
  • Marketing activities like Print business cards, stationery, website etc.
  • The U.S. Small Business Administration (SBA) offers additional information and resources on starting a new business. You can visit them on the internet at www.sba.gov, or you can contact your local branch office by phone.

Q: Is it true that Australia is issuing Flood Reconstruction Work Visas to Foreigners?

A: Yes, it's true. It's called Temporary Business (Long Stay) - Standard Business Sponsorship (Subclass 457). The Australian Government has announced fast-track processing of "Sub Class 457 Visa Eligible Occupations" applications specifically for reconstruction jobs in flood-affected areas, providing quick access to skilled overseas labour where local supply is insufficient. The subclass 457 visa provides a fast and flexible route for the entry of skilled workers to Australia. Under the program, a wide variety of skilled construction and engineering occupations are available for sponsorship, and employers can sponsor skilled workers for up to four years with no limit on the number of workers they sponsor. The government is offering personalised assistance with visa applications to employers involved in reconstruction work so that they provide assistance to the reconstruction effort. Processing time by Government for eligible and completed applications by Government is 7 days.The 457 program is available to businesses of any size – in fact, the vast majority of sponsors approved for the 457 program are small to medium enterprises and allows approved applicant to stay up-to 4 years without restrictions.
